Define template scope and use-case tiers — Decide whether you need one universal template or a family (e.g., software/SaaS, professional services, goods supply, outsourced operations). Tier by risk level: high-value/complex engagements use the full template; low-value/routine purchases use a simplified order form backed by master terms. Document the scope of each tier.
Draft core commercial terms — Include: parties and recitals, definitions (precise and exhaustive), scope of services or goods with explicit deliverables, pricing and payment terms (rates, invoicing schedule, dispute mechanism, late payment interest), and project governance (key contacts, change control process). Use plain-language definitions consistent with Adams' drafting standards.
Design the SLA and performance framework — Define performance metrics (availability, response time, error rate, delivery accuracy), measurement methodology, reporting frequency, and remedies for underperformance (service credits, cure periods, escalation rights, termination for persistent failure). Tie service credits to meaningful percentages of monthly fees. Make SLA metrics specific and measurable — avoid vague language like "reasonable efforts."
Allocate liability and indemnification — Set mutual liability caps (typically 12 months' fees for standard services; uncapped for IP infringement, fraud, death/personal injury, and data breach under applicable law). Define mutual indemnification obligations. Include express exclusion of consequential, indirect, and punitive damages. Ensure caps and carve-outs comply with local law (UK UCTA, US UCC limitations).
Embed data handling and security provisions — Include a Data Processing Addendum (DPA) covering: lawful basis for processing, data subject rights obligations, sub-processor approval requirements (GDPR Art. 28(2)), security measures (Article 32), data breach notification timeline (72 hours to controller under GDPR), data return and deletion upon termination, and audit rights. Draft IP ownership and license provisions — State clearly who owns IP created under the agreement. Grant the client a license to use deliverables; grant the vendor a license to use client materials needed for delivery. Address background IP (vendor's pre-existing IP embedded in deliverables) with appropriate license-back provisions.
Define term, renewal, and termination rights — Include: initial term, renewal mechanism (auto-renew with notice requirement vs. affirmative renewal), termination for convenience (30–90 days' notice), termination for material breach (30-day cure period), and termination for insolvency. Add step-in rights for critical services to protect continuity.
Write exit and transition provisions — Require the vendor to provide a transition assistance period (typically 6–12 months) at no more than standard rates. Specify data portability obligations, knowledge transfer requirements, continued access to systems during transition, and immediate obligations on expiry (cease use of client IP, return data, issue final invoice). Include survival clause for obligations that persist post-termination.
Add standard legal boilerplate with care — Include: governing law and jurisdiction (choose carefully for international vendors), dispute resolution (negotiation → mediation → arbitration or litigation), force majeure (define carefully — exclude foreseeable supply chain risks), entire agreement clause, waiver, severability, and notices. Do not use boilerplate without understanding its effect in the governing jurisdiction.
Review, test, and version-control the template — Have the template reviewed by a qualified lawyer in each governing jurisdiction where it will be used. Test it in three real negotiations and capture feedback. Use semantic versioning (v1.0, v1.1) with a changelog. Store in a controlled repository with access restricted to authorized personnel. Review annually or when law changes.
