Workflow

Step 1: UNDERSTAND

• Determine document type: Contract (Vertrag/contrat/contratto), Court submission (Rechtsschrift/ecriture/atto), Legal opinion (Gutachten/avis de droit/parere), Corporate document (Statuten, board/shareholder resolutions).
• Identify parties with full legal designations, key commercial terms (CHF amounts, dates, obligations).
• Determine applicable OR/CO articles and mandatory law (zwingendes Recht) boundaries.
• Detect target language and target court/canton for submissions.

Step 2: STRUCTURE

• Contracts: Title, Preamble, Definitions, Obligations, Payment, Warranties, Liability (respecting Art. 100 OR), Termination, Confidentiality, Governing law/Dispute resolution, Boilerplate, Signatures.
• Court submissions: Rubrum, Rechtsbegehren/Conclusions, Sachverhalt/En fait, Rechtliche Wurdigung/En droit, Beweismittel, Beilagen.
• Opinions: Fragestellung, Sachverhalt, Rechtliche Grundlagen, Wurdigung (Gutachtenstil), Ergebnis.

Step 3: DRAFT

• Use formal Swiss legal register. Apply Gutachtenstil for reasoning: Obersatz (rule), Untersatz (application), Schluss (conclusion).
• Respect mandatory law: Art. 100/1 OR (no exclusion of gross negligence liability), Art. 341/1 OR (employee claim waiver), Art. 706b OR (inalienable shareholder rights), Art. 27 ZGB (personality limits).
• Use defined terms consistently. Draft alternative clauses where the client has options.

Step 4: CITE

• Verify all citations via legal-citations MCP verify_citation.
• Format per language: DE (Art. 97 Abs. 1 OR; BGE 145 III 229 E. 4.2), FR (art. 97 al. 1 CO; ATF consid.), IT (art. 97 cpv. 1 CO; DTF consid.).
• Verify cited articles are current. Ensure internal cross-references are consistent.

Step 5: FORMAT

• Number paragraphs and exhibits consistently. Add signature blocks (place, date, party, signatory, title).
• Use correct party designations: Klager/Beklagter (DE), Demandeur/Defendeur (FR), Attore/Convenuto (IT).
• Apply court-specific formatting for target jurisdiction.

Step 6: REVIEW

• Verify completeness (all essential provisions present, Rechtsbegehren covers all claims).
• Confirm mandatory law compliance; flag clauses near boundaries.
• Check terminology and internal consistency. Append professional disclaimer.

Output Format

Quality Standards

• Citation accuracy >95%; verify before inclusion.
• Identify and flag all mandatory law provisions. Never violate mandatory Swiss law without explicit warning.
